1. Introduction, Application and Basic Definitions
1.1. Framework of the agreement. These terms govern the binding legal engagement between Globalex (the "Company") and any person or corporation using the Company's website, purchasing a package or consuming any of the Company's communications services (the "Customer").
1.2. Consent to the terms. Use of the website, the placing of an order, the installation of an application, the scanning of a QR code or the consumption of a service constitute full and irrevocable consent to these terms and to the documents accompanying them (the Privacy Policy, the Cancellation Policy and the Accessibility Statement), whether or not a written document has been signed.
1.3. Normative precedence. In any case of conflict between the provisions of these terms and the Cancellation Policy in the matter of cancellation and restitution, the Cancellation Policy shall prevail. In all other matters the provisions of these terms shall prevail.
1.4. Definitions of terms:
- "The Website" — the Company's websites (globalex.co.il / 036760602.net), its mobile applications, and its digital management interfaces.
- "eSIM Data Service" — a cellular data communications service abroad based upon a digital SIM card (eSIM) installed on the end device.
- "Israeli Number Service" — a communications service based upon a dialler application and/or a web interface (VoIP/Web), enabling outgoing and incoming calls, SMS messages and verification codes (OTP) by means of an Israeli telephone number over an internet connection.
- "Infrastructure provider" — a communications operator or network provider in Israel or abroad (including the network provider eSIM-Go) which actually provides the network services by means of which the service is given.
- "Number porting" — the transfer of an existing cellular telephone number from the network of a donor operator to the network of the Company / the infrastructure provider, in accordance with the law and the porting regulations.
- "Activation" (of a data package) — the first connection of the end device to a cellular communications network at the destination by means of the package.
2. Capacity, Registration and Identity Verification
2.1. Legal capacity. The services are intended for persons who have reached the age of 18 and are competent to perform binding legal acts. The furnishing of incorrect details constitutes a fundamental breach and entitles the Company to cancel a transaction or to discontinue a service forthwith.
2.2. The duty of identification and verification (OTP). For the purpose of providing the services, and in particular for the porting or allocation of an Israeli number, the Company is required to identify the Customer and to complete an identity verification process, by virtue of the requirements of the law and of the infrastructure providers. The Customer shall be required to furnish an identity card number (or a passport for a foreign national), and where necessary a copy of an identifying document and a one-time verification code (OTP) sent to the contact details furnished.
2.3. Personal use only. The services are intended for the Customer's personal use alone. It is absolutely prohibited to transfer, assign, let, sell or resell the services to any third party without the Company's express prior written approval.
3. Service 1 — Data Packages Abroad (eSIM Data)
3.1. The nature of the service. The eSIM Data service grants the Customer a data communications package (internet browsing only) in the countries and for the period selected upon purchase, from a catalogue of more than 190 countries, updated from time to time by the infrastructure provider.
3.2. Manner of supply and installation. Immediately upon approval of payment, the Customer receives a QR code and an eSIM profile at the email address furnished. Installation is performed by scanning the QR code where an internet connection is available (Wi-Fi). It is recommended to install at home before the flight.
3.3. Compatibility of the end device. Sole responsibility for verifying that the end device supports eSIM technology and that it is not locked to a particular cellular network rests with the Customer alone. The compatibility checker on the site is an aid only. Incompatibility of a device, or its being locked, gives rise to no ground for a refund after Activation of the package.
3.4. Time of Activation and validity. The validity of the package begins at the time of Activation — that is, at the moment the device first connects to a cellular network in the destination country (and not upon purchase or installation). The package ends at the end of the number of days purchased or upon exhaustion of the data volume, whichever is the earlier. Volume not used by the end of the period lapses and may not be transferred or credited.
3.5. Data service only. The eSIM Data service is intended for internet browsing only. The service does not include outgoing or incoming cellular calls or direct cellular SMS messages on the eSIM card. (The Company's Israeli number application may be used over the eSIM's internet connection.)
3.6. Fair Usage Policy (FUP) in unlimited packages:
- 3.6.1. Subject to the network provider. Packages defined as "unlimited" are subject to the terms of the international network provider (eSIM-Go) and to a fair usage policy.
- 3.6.2. Daily allowance and speed reduction. In unlimited packages a daily allowance of 1GB at full browsing speed is allocated in every 24 hours. Once the daily allowance is used, the browsing speed shall be reduced to up to 512kbps until the allowance renews, in a manner permitting continued basic use (such as text messages and maps).
- 3.6.3. Time of renewal of the allowance. The daily allowance renews exactly 24 hours after the initial Activation of the package at the destination (and not at midnight).
- 3.6.4. Extreme excess. Extremely unusual use, including use as a permanent hotspot for a large number of devices, or the operation of automatic collection or transmission software that burdens the infrastructure, entitles the Company and the infrastructure provider to suspend or limit the service.
4. Service 2 — The Israeli Number Service Abroad (Calls, SMS and OTP)
4.1. The nature of the service. The relocation and Israeli number service enables the Customer to retain their existing Israeli number (by porting) or to receive an Israeli number, and to make and receive calls and SMS messages by means of a dedicated dialler application and/or a web interface (Web/Desktop) from anywhere in the world.
4.2. Dependence on an internet connection. The service is based on voice over internet technology (VoIP). The availability of the service, the quality of the voice and the speed at which messages arrive depend entirely upon the Customer having an active and sound internet connection (Wi-Fi, local data or eSIM Data). The Company does not provide the internet infrastructure itself as part of this service.
4.3. Receipt of verification codes (OTP). The service supports the receipt of incoming SMS messages, including one-time verification codes (OTP) from banking institutions, credit card companies and state authorities in Israel (such as the National Insurance Institute). The arrival of verification codes depends upon the soundness of communications with the communications providers and the banks in Israel.
4.4. Caller identification. Outgoing calls and SMS messages are made with the Customer's true and full Israeli caller identification.
4.5. The porting process and termination of the engagement with the donor operator:
- 4.5.1. Subject to the porting regulations. The porting process is carried out in accordance with the porting regulations and on the basis of the co-operation of the infrastructure providers and the donor operator. The timetables for completion of porting presented to the Customer are an estimate only.
- 4.5.2. Cancellation of the previous package. Upon completion of the porting of the number to the network of the Company / the infrastructure provider, the Customer's engagement with the previous (donor) cellular operator in respect of that number comes to an end, and the package with that operator is cancelled in a manner preventing double payment for the number.
- 4.5.3. Debts to the donor operator. The Customer bears sole responsibility for the discharge of any debt or obligation owed to the donor operator. The Company is not responsible for delay in porting arising from a debt or a block imposed by the donor operator.
- 4.5.4. The right to port again. The telephone number remains the property of the infrastructure provider / the Company and the Customer receives a right of use in it only, without derogating from the Customer's right to port the number back to another operator in Israel at any time, in accordance with the provisions of the law.
5. Orders, Prices, Payments and Continuing Charges
5.1. Prices and approval of a transaction. All prices displayed on the site are stated in new shekels (₪) and include value added tax (VAT) according to law. A transaction is completed only after approval by the credit card company and the sending of a confirmation notice to the Customer.
5.2. Security of clearing. Credit card details are entered directly on a secure payment page, compliant with the PCI-DSS standard, of a licensed clearing company. The details do not pass through the Company's systems and are not stored in them.
5.3. Continuing charges and automatic renewal. A service offered in the form of a periodic subscription (such as the monthly Israeli number service) shall renew automatically at the end of each billing period, against a charge to the means of payment furnished, until an express cancellation notice is delivered by the Customer.
5.4. Notice of a change to a subscription price (21 days). The Company may update the prices of the services. A price update for an active subscription shall take effect in the following billing cycle, and after prior written notice of at least 21 days has been given to the Customer. The Customer may cancel the subscription without a cancellation fee up to the date on which the updated price takes effect.
5.5. Non-payment of a charge. In the event of non-payment of a charge, the Company shall operate a collection procedure and send a warning to the Customer. Where the debt is not settled within a reasonable time, the Company may suspend the service and thereafter cancel it.
6. Discount Codes and Promotions
6.1. Conditions of redemption. The Company may grant discount codes and reductions. A discount code shall be redeemed in accordance with the specific conditions prescribed for it.
6.2. No combining of benefits in a transaction. Unless expressly provided otherwise: no more than one discount code may be redeemed in a single transaction; a discount code may not be converted into cash; and it may not be combined with a further benefit in the same transaction.
6.3. Limitation of a coupon to a first order, and no combining of coupons. A Customer who has redeemed a coupon code or a discount code upon placing their first order with the Company shall not be entitled to use a further coupon code or discount code upon ordering a new or additional package, and the coupon benefit shall be limited to the first transaction alone, unless expressly provided otherwise in the terms of a specific promotion.
6.4. Standing discount arrangement for relocation customers. Notwithstanding section 6.3 above, customers classified as relocation customers and/or joining a dedicated relocation plan shall be entitled to a standing discount on the tariffs of the eSIM Data service alone, in accordance with the commercial arrangement in force in their regard, as updated from time to time by the Company. That standing discount is granted as a benefit under the terms of the plan, and does not constitute a one-time coupon code barring the redemption of benefits where such have been expressly defined. However, the standing relocation discount may not be combined with further discount codes or coupons in the same transaction.
6.4.1. The Company may, in its sole discretion, cancel or vary the benefit at any time.
6.5. Unlawful use. Use of a discount code contrary to its conditions, fraudulently or by technological manipulation, entitles the Company to cancel the benefit and to charge the full price of the service.
7. Availability of the Service, Infrastructure Limitations and Limitation of Liability
7.1. Supply as is. The services are provided AS IS. The Company does not undertake that the services will be provided in an orderly manner, without interruptions, faults or delays.
7.2. Dependence on third-party infrastructure. The services depend upon the infrastructures of international and local infrastructure providers, internet and cellular networks, network loads, geographical coverage and weather conditions. The Company bears no responsibility for failures arising from those factors.
7.3. Limited liability cap. The Company's maximum and aggregate liability for any legal ground or damage shall in no case exceed the sum actually paid by the Customer to the Company in respect of the specific service in which the fault occurred.
7.4. Exemption from indirect damage. The Company shall bear no liability for indirect, consequential or special damage, including loss of profits, loss of working days, loss of business opportunity or distress.
8. Emergency Services
8.1. No exclusive emergency provision. The Company's services (both eSIM Data and the Israeli number service in the application) are not a substitute for an ordinary cellular or fixed telephone line for emergency services, and do not guarantee access to emergency centres (such as 100, 101 and 102 in Israel, or international emergency numbers such as 911 / 112).
8.2. The Customer's responsibility for an alternative means. The ability to contact emergency centres depends upon an active internet connection, the availability of a local network, the device being charged and external factors. The Customer is responsible for maintaining an alternative means of communication for emergency calls abroad.
9. Prohibited Uses, Suspension and Discontinuance of Service
9.1. Prohibition of improper use. It is absolutely prohibited to make unlawful use of the services, including: the sending of spam (contrary to section 30A of the Communications Law), harassment, impersonation, invasion of privacy, attempts to penetrate systems (hacking), or the malicious overloading of the infrastructure.
9.2. Immediate discontinuance. A breach of this section constitutes a fundamental breach and entitles the Company to suspend or discontinue the service forthwith, without prior warning and without any remedy of refund.
10. Cancellation of a Transaction and Termination of the Engagement
10.1. Subject to the Consumer Protection Law. Cancellation of a transaction shall be carried out in accordance with the Consumer Protection Law, 5741-1981, and the Cancellation Policy published on the Company's website.
10.2. Cancellation of an eSIM package. An eSIM Data package that has not yet been activated on a network (has not yet connected to a network at the destination) may be cancelled within 14 days of the date of purchase, in accordance with the Cancellation Policy. A package that has been activated and used on a network at the destination may not be cancelled and no refund shall be given in respect of it.
10.3. Cancellation of a continuing subscription. A continuing subscription (the Israeli number) may be cancelled at any time by written notice to the service email address. The cancellation shall take effect at the end of the current billing cycle. In the relocation service, the service shall be cancelled in accordance with the Customer's request or upon the porting of the number to another provider — the Customer is under a duty to notify the Company of the porting and of the discontinuance of the services.
11. Intellectual Property, Privacy and Indemnity
11.1. Intellectual property. All intellectual property rights in the site, the application, the trade marks and the source code are reserved to Globalex alone. They may not be copied, reproduced or used commercially without prior written consent.
11.2. Privacy and transfer of information to providers. The collection and use of information are governed by the Privacy Policy. The Customer confirms and is aware that, for the purpose of providing the services, operational information and identifying details are transferred to international and local infrastructure providers (including providers outside Israel).
11.3. Duty of indemnity. The Customer undertakes to indemnify the Company for any damage, loss, claim or expense (including advocates' fees) caused to it as a result of use of the services contrary to these terms or to the provisions of the law.
12. Variation of the Terms, Governing Law and Jurisdiction
12.1. Updating these terms (14 days). The Company may update these terms from time to time. A material update shall take effect 14 days after its publication on the site and notice to active customers.
12.2. Governing law. These terms, their interpretation and any dispute arising from them shall be governed exclusively by the laws of the State of Israel.
12.3. Jurisdiction (Northern District). Exclusive jurisdiction in any dispute concerning these terms or the services is conferred on the competent courts of the Northern District (or of the Haifa / Nazareth District).
13. Miscellaneous and Contact Details
13.1. Severability. If a competent instance determines that a particular provision of these terms is invalid, the remaining provisions shall remain in force.
13.2. Precedence of the Hebrew text. These terms are published in Hebrew and in English. In any case of conflict or inconsistency between the Hebrew text and the English text, the Hebrew text alone shall prevail.
